  • Ongoing Accuracy: The user commits to maintaining the accuracy of such information and will promptly update registration data as necessary.

3.2 Legal Capacity and Compliance
The user represents and warrants that:

  • Legal Standing: They have the legal capacity to enter into this agreement.
  • Agreement to Terms: They agree to comply with these Legal Terms in their entirety.
  • Age Requirement: They are not a minor in the jurisdiction in which they reside (typically 18+).

3.3 Prohibited Access and Usage
The user represents and warrants that:

  • Non-Automated Access: They will not access the Services through automated or non-human means (e.g., bots, scripts, or scrapers).
  • Lawful Use: They will not use the Services for any illegal or unauthorized purpose.
  • Regulatory Compliance: Their use of the Services will not violate any applicable law or regulation.

3.4 Consequences of Breach
If the user provides information that is untrue, inaccurate, not current, or incomplete, the Company reserves the right to:

  • Suspend or Terminate the user’s account.
  • Refuse any and all current or future use of the Services (or any portion thereof).

4. User Registration

  • Proactive Communication: The Company will contact the user via email prior to the subscription expiry date to:
    - Notify the user of the upcoming expiration.
    - Provide the cost and terms for a potential renewal.
    -Request confirmation if the user wishes to extend the service.

6.2 Cancellation and Refund Policy

  • Non-Refundable: All purchases are strictly non-refundable once processed.
  • Termination of Access: Users may cancel their subscription at any time by contacting the Company via the provided contact details.
  • Effective Date: Cancellation will take effect only at the conclusion of the current paid term; no pro-rata refunds are provided for unused portions of a term.

6.3 Fee Adjustments

  • Discretionary Changes: The Company reserves the right to modify subscription fees at its discretion.
  • Notice Requirements: Any price changes will be communicated to the user in compliance with applicable legal standards before they take effect.

7. Prohibited Activities

7.1 General Scope of Use
The Services may only be accessed and used for the specific purposes for which the Company makes them available. Commercial endeavors are strictly prohibited unless they have been explicitly endorsed or approved in writing by the Company.

7.2 Specific Prohibitions
Users are expressly prohibited from engaging in the following activities (categorized for legal clarity):

  • Data and System Integrity:
    - Data Scraping: Systematically retrieving data to create collections, databases, or directories without written permission.
    - Automation: Using any automated system (spiders, robots, scrapers, or offline readers) to access the Services.
    - Reverse Engineering: Deciphering, decompiling, or disassembling any software comprising the Services, except where permitted by law.
  • Security and Interference:
    - Bypassing Security: Circumventing or disabling security-related features or measures designed to restrict access or protect Content.
    - Harmful Software: Uploading viruses, Trojan horses, or any material that interferes with the uninterrupted use of the Services.
    - Network Burdens: Creating an undue burden on the Services or connected networks.
  • User Conduct and Misrepresentation:
    - Deception: Tricking, defrauding, or misleading the Company or other users, particularly to obtain sensitive account information.
    - Impersonation: Attempting to use the username of another user or person.
    - Harassment: Using information from the Services to harass, abuse, or harm others, including Company employees or agents.
  • Commercial and Legal Infringement:

8. User Generated Contributions

8.2 Definition of "Contributions"

  • Video, audio, and photographs.

8.3 Compliance and Liability
When a user creates or makes available any Contributions, they represent and warrant that:

  • Non-Infringement: The creation, distribution, and performance of the Contribution do not and will not infringe the proprietary rights (including copyright, patent, trademark, or trade secrets) of any third party.
  • Ownership: The user is the creator and owner of (or has the necessary licenses/consents for) the Contributions.
  • Lawfulness: Contributions are not false, inaccurate, misleading, unsolicited, or unauthorized advertising.
  • Ethical Standards: Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, or otherwise objectionable (as determined by the Company).
  • Targeting Minors: Contributions do not violate any applicable law concerning child pornography or the protection of minors.
  • Privacy Rights: Contributions do not include any offensive comments connected to race, national origin, gender, sexual preference, or physical handicap.

8.4 Enforcement
Any use of the Services in violation of the above constitutes a breach of these Legal Terms and may result in, among other things, termination or suspension of the user’s rights to use the Services.

9. Contribution Licence

9.1 Grant of Licence
By posting Contributions to any part of the Services, or making Contributions accessible to the Services by linking your account from the Services to any of your social networking accounts, you automatically grant—and you represent and warrant that you have the right to grant—to the Company an:

  • Irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide entitlement to use, copy, perform, display, reproduce, modify, translate, excerpt (in whole or in part), and distribute such Contributions for any purpose (commercial, advertising, or otherwise).

9.5 Limitation of Liability for Contributions
The Company is not liable for any statements or representations in your Contributions provided by you in any area on the Services. You are solely responsible for your Contributions to the Services, and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

9.6 Editorial Rights
The Company has the right, in our sole and absolute discretion:
- To edit, redact, or otherwise change any Contributions.
- To re-categorize any Contributions to place them in more appropriate locations on the Services.
- To pre-screen or delete any Contributions at any time and for any reason, without notice.

10. Services Management

  • System Updates: As part of the subscription Services, the Company will provide periodic software updates, bug fixes, and enhancements at no additional charge.
  • Scheduled Maintenance: While the Company aims for maximum availability, it reserves the right to conduct scheduled maintenance. We will endeavor to provide users with advance notice of any significant planned downtime.
  • Limitations: Support is limited to the functionality of the Services and does not cover issues arising from the user’s own hardware, third-party software, or unauthorized modifications.

14. Governing Law

14.1 Primary Jurisdiction
These Legal Terms are governed by and interpreted in accordance with the laws of the United Kingdom. The application of the United Nations Convention of Contracts for the International Sales of Goods is expressly excluded from this agreement.

14.2 Consumer Protections (EU Residents)
If the user is a consumer and has their habitual residence in the European Union (EU), they are entitled to the mandatory legal protections provided by the laws of their country of residence in addition to the protections offered under UK law.

14.3 Jurisdiction for Claims

  • Non-Exclusive Venue: Both the Company and the user agree to submit to the non-exclusive jurisdiction of the courts of England and Wales.
  • Consumer Rights: This means that while the primary venue is the UK, EU-based consumers may also bring claims to defend their consumer protection rights in the EU country where they reside.

15. Dispute Resolution

15.1 Informal Negotiations
To expedite resolution and control costs, the Company and the user (the "Parties") agree to first attempt to negotiate any dispute, controversy, or claim ("Dispute") informally for at least thirty (30) days before initiating any formal proceedings.

  • Commencement: Informal negotiations begin upon receipt of written notice from one Party to the other.

15.2 Escalation to Senior Management
If the Dispute is not resolved through informal negotiations within the initial 30-day period, the Parties agree to escalate the matter to their respective senior management for further discussion. This step must be taken before seeking judicial intervention.

15.3 Jurisdiction and Venue
The Parties irrevocably agree that the Courts of England and Wales shall have exclusive jurisdiction to settle any Dispute or claim arising out of or in connection with these Legal Terms, their subject matter, or their formation (including non-contractual disputes or claims).

15.4 Exceptions to Dispute Resolution
The Parties agree that the following types of Disputes are not subject to the provisions concerning informal negotiations or senior management escalation:

  • Urgent Relief: Any claim for urgent injunctive relief to prevent immediate and irreparable harm.

17.4 Specific Liability Exclusions
The Company assumes no liability or responsibility for:

18. Limitations of Liability

18.1 Exclusion of Indirect and Consequential Damages
To the maximum extent permitted by law, the Company, including its directors, employees, or agents, shall in no event be liable to the user or any third party for:

  • Indirect, consequential, exemplary, incidental, special, or punitive damages.
  • Lost profits, lost revenue, or loss of data.
  • Other damages arising from the use of the Services, even if the Company has been advised of the possibility of such damages.

18.2 Limitation of Liability

  • Maximum Liability: The Company’s total aggregate liability to the user for any and all claims arising out of or related to these Legal Terms or the use of the Services—whether in contract, tort (including negligence), or otherwise—shall be limited to the total amount paid by the user to the Company during the twelve (12) month period immediately preceding the event giving rise to the claim.
  • Alternative Minimum Cap: In the event that the user has not paid any fees to the Company (e.g., during a free trial period), the Company’s total liability shall be limited to £100 GBP.
  • Exclusions: This cap does not apply to liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by the Company's negligence, or for fraud or fraudulent misrepresentation.

The Company acknowledges that certain US state laws and international laws do not allow limitations on implied warranties or the exclusion/limitation of certain damages. If these laws apply to the user, some or all of the above disclaimers or limitations may not apply, and the user may have additional rights.

The Company will maintain certain data that the user transmits to the Services for the purpose of managing the performance of the Services, as well as data relating to the user’s use of the Services.

19.2 Backup Liability Disclaimer
While the Company performs regular routine backups of data, the user is solely responsible for all data that they transmit or that relates to any activity they have undertaken using the Services.

19.3 Data Security and Liability

  • Company Responsibility: The Company shall implement reasonable administrative, physical, and technical safeguards designed to protect the security and integrity of user data.
  • Limitation of Liability: The Company shall not be liable for data loss resulting from unauthorized access to the user’s account due to the user's failure to maintain password confidentiality.
  • Excluded Liability: To the maximum extent permitted by law, the Company’s liability for the loss or corruption of data shall be limited to the "Secondary Cap" defined in these terms.
  • Mutual Mitigation: Both parties agree to take reasonable steps to mitigate the damages resulting from any data loss or security breach.

20. Electronic Communications, Transactions, and Signatures

20.1 Consent to Electronic Interaction
The user acknowledges that visiting the Services, sending emails to the Company, and completing online forms constitute electronic communications.

20.2 Binding Electronic Agreements
The user consents to receive electronic communications and agrees that all agreements, notices, disclosures, and other communications provided by the Company electronically—via email or through the Services—satisfy any legal requirement that such communication be in writing.

20.3 Electronic Signatures and Records
The user hereby agrees to the use of:

  • Electronic Signatures: For entering into contracts, orders, and other records.
  • Electronic Delivery: For notices, policies, and records of transactions initiated or completed by the Company or via the Services.

20.4 Waiver of Original Signature Requirements

21. Miscellaneous
